1. Definitions

In these Terms and Conditions:

  • "Service" or "Services" refers to business licensing support, regulatory consulting, and permit application assistance provided by Permitta
  • "Client" or "You" refers to the individual or business entity engaging our services
  • "We," "Us," or "Our" refers to Permitta
  • "Agreement" refers to these Terms and Conditions together with any service proposal or engagement letter
  • "Government Authorities" refers to Thai regulatory departments and agencies involved in business licensing

2. Acceptance of Terms

By engaging our services or using our website, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services.

These terms apply to all clients, website visitors, and users of our services. You must be at least 18 years of age and have legal capacity to enter into binding agreements to use our services.

3. Services Description

Permitta provides consulting and support services related to Thai business licensing and regulatory permits, including:

  • Assessment of applicable licensing requirements
  • Preparation of application documentation
  • Coordination with Thai government departments
  • Application submission and tracking
  • Response to government inquiries during review processes

The specific services provided will be outlined in a service proposal or engagement letter. We do not provide legal advice, and our services do not constitute practice of law.

4. Client Responsibilities

Clients engaging our services agree to:

  • Provide accurate and complete information about their business operations
  • Supply required documentation in a timely manner
  • Respond promptly to requests for additional information
  • Inform us of any changes to business plans or operations during the licensing process
  • Pay agreed fees according to the payment terms
  • Comply with Thai business laws and regulations

Failure to fulfill these responsibilities may affect our ability to provide services effectively and could result in delays or unsuccessful applications.

5. Service Fees and Payment

5.1 Fee Structure

Service fees are determined based on the complexity and scope of licensing assistance required. Fee estimates are provided during initial consultation and confirmed in the service proposal.

5.2 Payment Terms

Unless otherwise agreed, payment is required according to the following schedule:

  • Initial deposit upon engagement (typically 50% of estimated fees)
  • Remaining balance upon completion of services or according to agreed milestones

5.3 Government Fees

Our service fees are separate from government filing fees and related costs. Government fees are estimated in our proposal but are subject to change by relevant authorities. You are responsible for all government fees associated with your license applications.

5.4 Currency

All fees are quoted and payable in Thai Baht (฿) unless otherwise agreed in writing.

6. Service Limitations and Disclaimers

6.1 No Guarantees of Approval

While we work diligently to prepare complete and accurate applications, we cannot guarantee that any license or permit will be approved by government authorities. Final approval decisions rest with the relevant Thai government departments.

6.2 Timeline Estimates

Processing timelines provided are estimates based on typical government review periods. Actual approval times may vary and are beyond our control.

6.3 Scope of Service

Our services are limited to the specific licensing matters outlined in your engagement agreement. We are not responsible for other aspects of your business operations or compliance matters outside the agreed scope.

7. Intellectual Property

All materials, templates, methodologies, and know-how developed by Permitta remain our intellectual property. You receive a non-exclusive license to use deliverables we provide for your specific licensing application.

You retain ownership of your business information and documentation. By engaging our services, you grant us permission to use your information for the purpose of preparing and submitting license applications on your behalf.

8. Confidentiality

We maintain confidentiality of your business information and do not share it with third parties except:

  • When necessary to submit applications to government authorities
  • With service providers engaged for specific tasks (under confidentiality agreements)
  • When required by law or government regulation

This confidentiality obligation survives termination of our services.

9. Limitation of Liability

To the maximum extent permitted under Thai law:

  • Our total liability for any claim arising from our services shall not exceed the fees paid by you for the specific engagement
  • We are not liable for indirect, consequential, or incidental damages
  • We are not responsible for decisions or actions taken by government authorities
  • We are not liable for delays or complications arising from incomplete or inaccurate information provided by clients

These limitations apply regardless of the legal theory of liability and survive termination of services.

10. Indemnification

You agree to indemnify and hold Permitta harmless from any claims, damages, or expenses arising from:

  • Inaccurate or false information you provide
  • Your violation of Thai laws or regulations
  • Your breach of these Terms and Conditions
  • Third-party claims related to your business operations

11. Termination

11.1 Termination by Client

You may terminate our services with written notice. You remain responsible for fees for work completed through the termination date.

11.2 Termination by Permitta

We may terminate services if you fail to fulfill your responsibilities, provide false information, or fail to pay fees according to agreed terms.

11.3 Effects of Termination

Upon termination, we will provide you with copies of work completed to date. Confidentiality obligations and limitation of liability provisions survive termination.

12. Dispute Resolution

12.1 Governing Law

These Terms and Conditions are governed by the laws of Thailand. Any disputes arising from our services shall be subject to the jurisdiction of Thai courts.

12.2 Informal Resolution

Before initiating formal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation.

12.3 Jurisdiction

The courts of Bangkok, Thailand shall have jurisdiction over any legal proceedings related to these terms or our services.

13. General Provisions

13.1 Entire Agreement

These Terms and Conditions, together with any service proposal or engagement letter, constitute the entire agreement between parties.

13.2 Severability

If any provision of these terms is found unenforceable, the remaining provisions continue in full effect.

13.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or our right to enforce it in the future.

13.4 Assignment

You may not assign your rights or obligations under these terms without our written consent. We may assign our rights and obligations with notice to you.

13.5 Notices

All notices under these terms should be sent in writing to the contact information provided in your engagement agreement or to [email protected].

14. Changes to Terms

We may update these Terms and Conditions periodically to reflect changes in our practices or legal requirements. Significant changes will be communicated to active clients via email.

The "Last Updated" date indicates when changes were made. Your continued use of services after changes become effective constitutes acceptance of the modified terms.
